INDIVIDUAL AGREEMENT BETWEEN BOX NOW CYPRUS LTD AND THE USER

The parcel and document courier services provided by BOX NOW CYPRUS LTD, a limited liability company duly registered in Cyprus with registration no. HE449403, having its registered office at 48 Themistokli Dervi Street, Athienitis Centennial Building, 3rd floor, apartment/office 303, 1066, Nicosia (hereinafter "BOXNOW"), for which no other specific written agreement exists, shall be governed by the terms of this Agreement.

Article 1 - GENERAL TERMS

1.1. For the purposes of this Agreement, "User" means the sender and/or the recipient, as the case may be (the "User").

1.2. The User declares that he/she unconditionally accepts these BOXNOW carriage terms in respect of the document or parcel (hereinafter the "Postal Item") carried by BOXNOW by whatever means BOXNOW chooses.

1.3. The BOXNOW Waybill (hereinafter the "Waybill") is a non-negotiable form, and the sender acknowledges that it was completed by the sender or by BOXNOW or its representatives on the sender's instructions and on the sender's behalf. The sender declares and accepts that he/she lawfully holds and/or is the owner or holder or representative of the owner or holder of the Postal Item carried by BOXNOW. The drawing up of the Waybill and the undertaking of carriage by BOXNOW evidences the conclusion of an individual postal contract between the sender and BOXNOW and constitutes proof of acceptance of the general terms for the provision of courier services.

1.4. BOXNOW may use its own means to carry the Postal Item or may carry out the carriage through an authorised representative.

1.5. Where the collection or delivery of the shipment is effected through the use of BOXNOW's automated delivery/collection lockers (hereinafter the "APL") and the special security code (hereinafter the "PIN"), use of the PIN sent to the User's mobile telephone number and/or e-mail address shall be deemed to constitute acceptance of the terms of this Agreement and the User's signature, as well as proof of collection or delivery of the Postal Item.

1.6. The User of BOXNOW's services accepts and authorises BOXNOW to use the User's mobile telephone number and/or e-mail address in order to send the PIN, to inform the User of the progress of delivery/collection of the Postal Item, and to send the receipt or invoice for the User's shipment.

1.7. The User is obliged not to disclose the PIN to third parties; should the User do so, use of the PIN by a third party shall be deemed to be made on the User's behalf and for the User's account.

1.8. Where delivery of the Postal Item is effected through the use of an APL, identification of the recipient is carried out by means of the recipient's mobile telephone number in combination with the PIN; accordingly, the accuracy of the recipient's mobile telephone number is of critical importance for the correct delivery of the Postal Item. Correct transmission of the recipient's mobile telephone details to BOXNOW is the sole responsibility of the sender.

1.9. Where delivery of the Postal Item is made at the recipient's address, the recipient's signature on the Waybill (or on the corresponding electronic medium) shall be deemed to constitute acceptance of the terms of this Agreement and proof of receipt of the Postal Item.

1.10. Tracking of shipments of Postal Items is carried out through BOXNOW's Special Postal Item Tracking and Tracing System (hereinafter "ESPETA") at all stages of handling (track & trace). ESPETA includes (a) the identification number of the Postal Item, (b) the details of the sender and recipient, (c) the date, place and time of collection and delivery of the Postal Item, (d) the weight or weight range of the Postal Item, (e) the type of the Postal Item (document or parcel), and (f) the date and time of any unsuccessful delivery attempts.

Article 2 - SERVICES PROVIDED AND DELIVERY PROCEDURE

2.1. The services provided by BOXNOW consist of the courier carriage and handling of prepaid Postal Items from online stores or individual users (sender) via APL, as follows:

(a) carriage from the sender's agreed collection point (for online stores) to the APL selected by the recipient or the sender (hereinafter the "selected APL");

(b) carriage from the selected APL, where the recipient returns a Postal Item to the sender, to the sender's agreed delivery/collection point (for online stores), provided that BOXNOW had previously undertaken itself to carry the Postal Item to an APL;

(c) carriage from an APL where the sender has deposited a Postal Item (provided the APL is available) to the selected APL from which the recipient will collect the Postal Item, or to an address of the recipient indicated by the sender (pursuant to a specific written agreement);

(d) the Postal Item shall remain at the same APL where it was deposited by the sender, and the recipient shall collect it from that same APL, provided that BOXNOW's software indicates the availability of that APL.

2.2. Every shipment handled is accompanied by a Waybill on which the sender clearly states the shipment details (sender's and recipient's particulars, etc.). The sender bears sole and absolute responsibility for the accuracy of the details entered.

2.3. The recipient shall receive messages from BOXNOW at the mobile telephone number that has been provided to the sender, and/or through other messaging applications associated with that mobile telephone number (including, indicatively and without limitation, Viber and WhatsApp), and/or at the e-mail address provided to the sender, after BOXNOW has received the Postal Item. Such messages shall inform the recipient of the delivery procedure for the Postal Item, the timeframes associated with that procedure, and reminders. The message contains information regarding the selected APL, including a link to its address, the period during which the Postal Item will remain at the APL, and the PIN, which shall be made known only to the recipient and which the recipient shall enter on the keypad of the selected APL in order to open the locker door containing the Postal Item.

2.4. If the Postal Item is not collected within the time period provided for under 2.3 above, the Postal Item shall be transferred to BOXNOW's premises, from where the recipient shall be entitled to collect it within five (5) days, upon expiry of which the Postal Item shall be returned to the sender.

2.5. Where, exceptionally, the Postal Item cannot be delivered to the selected APL due to it being full or unavailable, the Postal Item shall, upon notice to the recipient, be delivered to the nearest APL.

2.6. BOXNOW enables the recipient to log in via mobile phone or computer to the BOXNOW website in order to track the delivery progress of the Postal Item ordered from the sender, through ESPETA.

2.7. The recipient has the right to lodge a reservation/objection within a period of three (3) business days from receipt of the Postal Item.

Article 3 - SENDER'S WARRANTIES

The sender warrants that: (a) the required shipment details of the sender and the recipient have been correctly recorded on the Waybill for the shipment being processed; (b) the Postal Item has been properly packaged so as to ensure its safe carriage; (c) the sender shall prepay all charges for the carriage, return or storage of Postal Items corresponding to the services provided; and (d) the Postal Item complies with the terms and conditions of this Agreement.

Article 4 - THE SHIPMENT

4.1. The maximum weight of a Postal Item that BOXNOW undertakes to carry is set at 20 kilograms. Postal Items shall have maximum dimensions of 62 x 45 x 36 cm.

4.2. The maximum value of a Postal Item that BOXNOW undertakes to carry shall not exceed EUR 100.00. BOXNOW is entitled to refuse to carry a Postal Item that exceeds the above limits as to weight, dimensions or value.

4.3. BOXNOW has no knowledge of the contents of Postal Items, and the sender is obliged to verify that the Postal Item complies with these carriage terms and conditions; the sender bears full and sole responsibility for any exceeding of these limits, in any case of loss of or damage to the shipment. BOXNOW is entitled, at its discretion but without obligation, to inspect the contents of a shipment it undertakes to handle, and may also decline to accept a Postal Item for handling if the sender refuses to allow it to be inspected by a BOXNOW representative.

4.4. BOXNOW is also entitled, either at the time of collection or at any point in time after collection of the Postal Item, not to proceed with handling the shipment if there are indications of prohibited content in the Postal Item, or insufficient recipient details, or if a customs declaration has not been submitted where required under applicable customs regulations, and/or if the shipment is not accompanied by the lawful tax documentation required by law.

Article 5 - PRICES AND DELIVERY TIME

5.1 The services, together with the delivery time provided for each service and the prices for BOXNOW's services, are set out in the detailed price list published on the website www.boxnow.cy, accessible via a dedicated link on the home page, subject to any special agreements, in which case the more specific terms contained in such agreements shall apply.

5.2 BOXNOW may amend its charges for each service provided according to its needs. The price list is updated from time to time to reflect changes in market conditions and Users' requirements. Each new posting/publication of the price list replaces the previous one, which thereupon ceases to apply. BOXNOW is entitled to withhold or refuse to deliver a Postal Item it is carrying until payment for its service has been received in full. Where the sender wishes the handling of the sender's Postal Item shipment to be covered by insurance, a specific agreement with BOXNOW is required.

Article 6 - COVERAGE NETWORK AND ACCESS POINTS

6.1. The coverage network within the government-controlled areas of the Republic and the access/installation points of the APLs are published on the website www.boxnow.cy.

6.2. Collection and delivery hours for Postal Items are 7 days a week, 24 hours a day.

6.3. BOXNOW ensures, to the extent possible, safe access to and use of the APLs by persons with disabilities.

Article 7 - BOXNOW LIABILITY - COMPENSATION

7.1. BOXNOW's liability for deficient provision of courier services to individual Users (i.e. senders, recipients or principals who do not have a specific contract and who pay cash for the services provided to them according to the standard prices of BOXNOW's official price list) is determined as follows:

(a) For proven partial or total loss, theft or destruction of the contents of a Postal Item, compensation shall be paid equal to the actual value of the loss, theft or destruction, provided that it does not exceed the maximum amount of compensation set out in paragraphs 7.1(b) to 7.1(d) below.

(b) For proven loss or total theft or total destruction of the contents of an envelope, maximum compensation of EUR 50.00 shall be paid, together with reimbursement of the postal fee paid for that particular shipment.

(c) For proven loss or total theft or total destruction of the contents of a parcel, maximum compensation of EUR 100.00 shall be paid, together with reimbursement of the postal fee paid for that particular shipment.

(d) The above amounts of compensation are calculated on the basis of the actual value of the goods being carried, following verification and cross-checking of that value against the User's purchase invoices.

(e) If a Postal Item is returned and the cause of non-delivery is unknown, the sender is entitled to reimbursement of the postal fee.

(f) The availability and amount of compensation in the event of insurance cover shall be determined by the terms of the relevant specific agreement between BOXNOW and the User.

(g) In the event of a delay of more than 3 days, Users are urged to contact BOXNOW as provided in Article 11 of this Agreement. In the event of delay in delivery of Postal Items, BOXNOW shall bear no liability whatsoever for any loss or damage, however arising (including, indicatively, any positive or consequential damage, loss of profit, non-material/moral damage, etc.).

7.2. In addition, the following shall apply:

(a) In the case of multiple shipments, where more than one Postal Item is sent to a single recipient and the case falls within the above categories, each Postal Item shall be treated separately and compensated separately.

(b) Compensation under the above cases shall be paid to the sender or, if the sender waives his/her rights, to the recipient of the Postal Item.

(c) Compensation shall be paid within a period of ten (10) business days from the date of approval of the User's request for payment of compensation.

7.3. The User unconditionally accepts the amounts of compensation set out above and declares that he/she waives any other or additional claim against BOXNOW for any positive or consequential damage or loss of profit, from whatever cause arising.

Article 8 - LIMITATION OF LIABILITY

8.1. BOXNOW's liability under Article 7 does not arise / is excluded in the following cases:

(a) Events of force majeure which BOXNOW could neither foresee nor avoid (such as accident, adverse weather conditions, delay of means of transport, strikes, government decrees, pandemic, etc.). In such cases, the postal fee paid shall be reimbursed to the sender.

(b) Proven criminal acts at BOXNOW's premises, at the APLs, or in the means of transport, resulting in the loss, damage or destruction of Postal Items. In such cases, the postal fee paid shall be reimbursed to the sender.

(c) Owing to the particularly perishable/sensitive nature of the contents of the Postal Item, such as, in particular but without limitation, foodstuffs with an expiry date and medicines.

(d) For loss or damage caused by the fault of the sender or the recipient, such as, in particular but without limitation, inadequate packaging, incorrect description of the Postal Item, and incomplete or incorrect recipient details.

(e) Shipments the contents of which fall within a prohibition on carriage or possession applicable to the sender and/or the recipient, or shipments the contents of which are seized or destroyed by the competent Authorities.

(f) Where the recipient has shown no interest in collecting the Postal Item within 2 months of its delivery to the selected APL.

(g) Where the recipient collects the Postal Item and, within three (3) business days, has not raised any reservation/objection by submitting a request as provided in Article 11.

(h) In the event of a false, insufficient or incorrect declaration on the Waybill.

8.2. In any event, BOXNOW's liability is expressly limited to the amounts specified, as applicable, in Article 7 above, and BOXNOW shall bear no further or other liability for any loss or damage whatsoever, however arising (including, indicatively, any positive or consequential damage, loss of profit, non-material/moral damage, etc.).

8.3. BOXNOW shall in every case be released from any liability, on any grounds, in respect of deficient performance of postal services, if a relevant claim has not been submitted to BOXNOW by the recipient within two (2) months at the latest from the conclusion of the postal contract. No claim shall be accepted after expiry of the above time limit.

8.5. BOXNOW shall bear no liability for compensation where the User fails to submit, within the required time limit, the necessary supporting documents proving the value of the Postal Items for which compensation is sought.

8.6. As regards BOXNOW's liability for deficient provision of courier services towards users of the services with whom specific individual contracts/agreements have been or are concluded for the handling of a number of Postal Items and/or for the provision of postal services over extended periods of time, and to whom discounts on the standard prices of BOXNOW's official price list and/or special lower prices in relation to the standard prices for such services, and/or credit for the provision of the services, are granted, the more specific terms and agreements contained in such contracts shall apply.

Article 9 - UNDELIVERABLE POSTAL ITEMS

The actions taken by BOXNOW with regard to the handling of Postal Items that could not be delivered to recipients or returned to senders for any reason are as follows:

(a) written notice to the recipient and return of the Postal Item to a BOXNOW facility;

(b) if it ultimately proves impossible to deliver the Postal Item to the recipient, the Postal Item may be returned to the sender at a charge no greater than the amount paid for its shipment;

(c) if it is not possible to return the Postal Item to the sender, it shall remain for two (2) months from the last notice to the sender in BOXNOW's warehouses, at the sender's expense;

(d) Postal Items which cannot be delivered to the recipient or returned to the sender shall be deemed definitively undeliverable, and a destruction procedure shall be followed, with a corresponding destruction report drawn up, upon expiry of the two (2) months referred to under (c) above.

Article 10 - NON-ACCEPTABLE POSTAL ITEMS

BOXNOW does not undertake the handling and carriage, via the APLs, of the following documents and items:

Cash, fragile items not adequately packaged for the purpose of their protection, activated bank cards, fixed and mobile telephony top-up/time cards, gold or other precious metals in any form, gold watches, jewellery, precious stones, antiquities, works of art, non-reproducible documents or items (including, but not limited to, correspondence/film/video of personal value, stamps, lottery tickets, antiques), perishable foodstuffs, products and items sensitive to low or high temperatures, plants, narcotics and other illegal substances and/or pharmaceutical substances the distribution of which is not permitted through third parties, flammable, explosive and radioactive materials, biological material, infectious, corrosive and poisonous substances, weapons or parts of weapons, animals, pornographic material, and, in general, goods and/or items the carriage of which is prohibited by international conventions or organisations (IATA, ICAO) and/or by provisions of national and European Union legislation, and/or which may, under such legislation, be seized by the authorities of Cyprus.

Article 11 - COMMUNICATION BETWEEN USERS AND BOXNOW

11.1. Complaints, queries and requests under Articles 7 and 8 above may be submitted in writing by Users to BOXNOW by the following means:

(a) by e-mail to [email protected], or through the BOXNOW website https://www.boxnow.cy;

(b) by post to 48 Themistokli Dervi Street, Athienitis Centennial Building, 3rd floor, apartment/office 303, 1066, Nicosia.

11.2. Users may also contact BOXNOW free of charge by telephone on +357-24042000, between 08:00-22:00 daily except Sunday, and 10:00-18:00 on Sunday.

11.3. Where the User's written communication to BOXNOW under 11.1 above is clear and specific and relates to a particular shipment already carried out by BOXNOW, BOXNOW shall respond in writing within thirty (30) business days from submission of the communication, subject to any additional information required by BOXNOW, and shall respond to the address indicated by the User to BOXNOW.

11.4. Once Users have exhausted the procedures referred to herein, they are entitled to refer the matter to the Office of the Commissioner of Electronic Communications and Postal Regulation (OCECPR).

Article 12 - JURISDICTION AND APPLICABLE LAW

In the event of a dispute between BOXNOW and the User that is not resolved through the procedure set out in Article 11, the Courts of the Republic of Cyprus shall have exclusive jurisdiction, and Cypriot law shall be the applicable law.
